1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the Signal platform, websites, applications, APIs, and related services (collectively, the "Services") provided by Verity Solutions, operating as Signal by Verity Solutions ("Signal", "we", "us", or "our"). Verity Solutions is a wholly owned subsidiary, and operating name of Benefits For Expats.
By creating an account, accessing, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.
We may update these Terms from time to time. Material changes will be communicated through the Services or by email to your registered address. Continued use of the Services after the effective date of the updated Terms constitutes your acceptance of those changes.
2. Eligibility and Authority
You may only use the Services if you are at least 18 years old (or the age of legal majority in your jurisdiction) and are legally capable of entering into a binding contract. By accepting these Terms, you represent and warrant that you meet these requirements.
If you are using the Services on behalf of an organisation, business, partnership, or other legal entity (the "Organisation"), you represent and warrant that:
- You are duly authorised to bind that Organisation to these Terms;
- The Organisation accepts these Terms and is jointly and severally liable with you for compliance;
- References to "you" in these Terms apply to both you individually and the Organisation; and
- You will ensure that all users of the Services within your Organisation comply with these Terms.
3. Account Registration and Responsibilities
To access certain features of the Services you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated at all times.
You are solely responsible for:
- Maintaining the confidentiality of your login credentials and any API keys issued to you;
- All activities that occur under your account, whether or not authorised by you;
- Promptly notifying us of any unauthorised access, security breach, or suspected compromise of your account; and
- Ensuring that any users you invite or provision under your account comply with these Terms.
We reserve the right to refuse registration, suspend, or terminate accounts at our reasonable discretion where required to protect the integrity, security, or lawful operation of the Services.
4. Acceptable Use Restrictions
You agree not to, and not to permit any third party to:
- Use the Services in violation of any applicable law, regulation, court order, or third-party right;
- Use the Services to harass, defame, stalk, threaten, or otherwise harm any person or organisation;
- Send unsolicited commercial communications ("spam") or violate any applicable anti-spam, electronic marketing, or telemarketing laws including the UK PECR, EU ePrivacy Directive, CAN-SPAM Act, CASL, or the Australian Spam Act 2003;
- Scrape, harvest, or collect personal data from any source in violation of that source's terms of service or applicable data protection law;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the extent that applicable law expressly prohibits such restriction;
- Interfere with, disrupt, or impose an unreasonable load on the Services, servers, or networks connected to the Services;
- Use any automated system (including bots, crawlers, or scrapers) to access the Services in a manner that exceeds reasonable human use;
- Circumvent, disable, or otherwise interfere with security, authentication, or rate-limiting features of the Services;
- Resell, sublicense, lease, time-share, or otherwise commercially exploit the Services without our prior written consent;
- Upload or transmit any malware, virus, worm, Trojan horse, or other malicious code; or
- Use the Services to build a competing product or to benchmark performance for publication without our prior written consent.
5. Intellectual Property and Licence
The Services, including all software, source code, designs, interfaces, text, graphics, logos, trademarks, data models, algorithms, machine-learning models, documentation, and the structure, sequence, and arrangement thereof, are owned by Signal, its affiliates, or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.
Subject to your continued compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services solely for your internal business or professional purposes during the term of your subscription.
You retain all rights, title, and interest in any data, content, or materials you submit to the Services ("Customer Data"). You grant Signal a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process your Customer Data solely as necessary to provide, maintain, secure, and improve the Services and to comply with legal obligations.
Any feedback, suggestions, or ideas you provide regarding the Services may be used by Signal without restriction or compensation.
6. Service Availability, Updates, and Modifications
We use commercially reasonable efforts to make the Services available on a continuous basis. However, the Services are provided on an "as available" basis and we do not guarantee uninterrupted, error-free, or fully secure operation.
We may, at any time and without prior notice, modify, update, suspend, or discontinue any feature, functionality, or component of the Services. Where changes are likely to have a material adverse impact on your use of the Services, we will use reasonable efforts to provide advance notice through the Services or by email.
Scheduled maintenance, third-party service disruptions, force majeure events, and required security interventions may temporarily affect availability and shall not constitute a breach of these Terms.
7. Disclaimers of Warranties
To the fullest extent permitted by applicable law, the Services and all associated content, data, insights, recommendations, and outputs are provided on an "as is" and "as available" basis, without warranties or representations of any kind, express, implied, statutory, or otherwise.
Signal expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and quiet enjoyment. We do not warrant that:
- The Services will meet your specific requirements or expectations;
- The Services will be uninterrupted, timely, secure, or error-free;
- The results or outputs derived from the Services will be accurate, reliable, or suitable for any decision-making purpose; or
- Any defects in the Services will be corrected.
Nothing in these Terms excludes or limits any warranty, right, or liability that cannot lawfully be excluded or limited under applicable consumer protection or other mandatory law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Signal, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings, arising out of or in connection with your use of, or inability to use, the Services, even if advised of the possibility of such damages.
Subject to the paragraph above, the total aggregate liability of Signal arising out of or in connection with these Terms or the Services, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of: (a) the total fees actually paid by you to Signal for the Services in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred British Pounds Sterling (£100).
Nothing in these Terms shall limit or exclude liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot lawfully be excluded or limited.
9. Indemnification
You agree to defend, indemnify, and hold harmless Signal, Verity Solutions, Benefits For Expats, and their respective affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your access to or use of the Services;
- Your Customer Data, including any claim that it infringes the rights of a third party or violates applicable law;
- Your breach of these Terms or any representation or warranty made by you;
- Your violation of any applicable law, regulation, or third-party right; or
- Any outreach, communication, or action you carry out using insights or data obtained through the Services.
Signal reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate fully with Signal in asserting any available defences.
10. Governing Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict-of-law principles. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
Where you reside in the European Union, the United Kingdom, Canada, Australia, or another jurisdiction whose mandatory consumer protection laws apply to you, you retain the benefit of any rights and protections that such laws afford and which cannot lawfully be derogated from by contract.
11. Termination and Suspension
You may terminate your account at any time by following the cancellation process within your account settings or by contacting us. Termination does not entitle you to a refund of fees already paid except where expressly stated in your subscription plan or required by applicable law.
We may, at our reasonable discretion and with or without prior notice, suspend, restrict, or terminate your access to all or part of the Services where:
- You materially breach these Terms or any acceptable use restrictions;
- Your use poses a security, legal, regulatory, or operational risk to Signal or other users;
- You fail to pay applicable fees when due;
- We are required to do so by law, court order, or competent regulatory authority; or
- We discontinue the Services or a material portion of them.
Upon termination, your right to access the Services ceases immediately. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and any provisions which by their nature should survive termination shall continue in full force and effect.
